Comité de Surveillance

Présidé par Jürgen Rauen, le comité de surveillance compte dix membres : un représentant d’EQT, un représentant DIF Capital Partners et un représentant PGGM, six membres industriels et un représentant des salariés. Il se réunit au moins quatre fois par an. Le comité de surveillance contrôle la gestion de la société par son Président. Il prend des décisions sur les questions stratégiques relatives à la vie de l’entreprise.

Chaired by Jürgen Rauen, the advisory committee has six members including one representing EQT. It meets at least 12 times per year. It takes decisions on the strategic points of the Saur group’s activities. These decisions differ from and complete those taken by the supervisory committee.

The two members of the audit committee meet at least twice per year.

Its core mission is to examine the financial statements to ensure that the financial information they contain is truthful and that the company’s internal compliance systems are effective. It inspects treasury management, supervises Group risk management and examines disputes or arbitrations above a certain threshold.

The two members of the appointments and remuneration committee meet at least twice per year. Its mission is to advise on the appointment, dismissal and remuneration (including bonuses and benefits of any kind) of the Chairman and members of the executive committee, and any other Group employee whose gross fixed annual salary exceeds a certain threshold. It is also consulted regarding the underlying principles of the Group remuneration policy, the implementation of any profit-sharing plan for Group employees, and the mandatory annual pay negotiations.
